These Terms of Service (“Terms”) govern your use of imprimogroup.com and the services provided by Imprimo Group and its sister brands (collectively, “Imprimo,” “we,” “our,” or “us”). By using our website or engaging our services, you agree to these Terms.

Services

Imprimo Group operates a network of specialty brands providing commercial printing, promotional products, custom apparel, signage, direct mail, and related services. Specific service terms, deliverables, timelines, and pricing are set forth in individual quotes, statements of work, or order confirmations.

Quotes and orders

Quotes provided by Imprimo are valid for thirty (30) days from issuance unless otherwise specified. Acceptance of a quote, written confirmation of an order, or submission of a deposit constitutes a binding order. Orders are subject to material availability and our production capacity at the time of acceptance.

Payment terms

Standard payment terms for new accounts require a 50% deposit at order acceptance, with the balance due upon completion. Established business accounts may qualify for net-30 terms following credit approval. Late payments may be subject to interest charges as permitted by law.

Production and delivery

Production timelines are estimates based on standard production schedules. Rush production may be available subject to additional fees. Delivery dates are estimates and may be affected by carrier performance, weather, and other factors outside our control. Title and risk of loss pass to the customer upon delivery to the carrier.

Files and intellectual property

You retain ownership of any files, designs, logos, or other intellectual property you provide to us. You represent that you have the right to use and reproduce all materials submitted for production. We retain ownership of any custom design work we create unless transferred in writing as part of an order.

You grant us a limited license to use your submitted materials for the purpose of fulfilling your order. We may showcase completed work in our portfolio unless you explicitly request otherwise in writing.

Returns and defects

Custom-printed and custom-decorated items are not returnable for non-defect reasons. If a delivered order does not match your approved proof or contains a production defect attributable to us, we will reprint or replace the affected portion at no additional charge. Claims must be made in writing within fourteen (14) days of delivery.

Color matching

For Pantone (PMS) spot colors, we match to spec on press. For CMYK process colors, an inherent variance of approximately five percent (5%) is industry standard. Color guarantees apply only to Pantone spot color runs.

Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from an order is limited to the amount paid for the affected portion of that order. We are not liable for indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost business opportunities, or delayed marketing campaigns.

Indemnification

You agree to indemnify and hold harmless Imprimo Group and its sister brands from any claims arising out of materials you submit for production, including but not limited to claims of copyright infringement, trademark violation, or libel.

Governing law

These Terms are governed by the laws of the State of Nevada. Any dispute arising from these Terms or our services shall be resolved in the courts of Clark County, Nevada.

Changes to these terms

We may update these Terms from time to time. The most current version will always be posted on this page with the “Last updated” date above. Continued use of our services after a change constitutes acceptance of the updated Terms.
